Definitions
In these Terms of Business, the following terms shall have the following meanings:
- "Client" means any business or organization that engages the services of Snake Charmer Limited, trading as Nabu Technology, for the purpose of sourcing and placing candidates.
- "Candidate" means any individual who is introduced to a client by Snake Charmer Limited, trading as Nabu Technology, for the purpose of employment or engagement.
- "Placement" means the successful introduction of a candidate to a client for the purpose of employment or engagement.
- "Fees" means the charges payable by the client to Snake Charmer Limited, trading as Nabu Technology, for the use of its services, as set out in these terms.
- "Agreement" means the contract between Snake Charmer Limited, trading as Nabu Technology, and the client, incorporating these Terms of Business.
Services
Snake Charmer Limited, trading as Nabu Technology, is an employment agency that provides staffing services to clients seeking to fill temporary, contract, or permanent positions. Our services include the sourcing, screening, and placement of candidates.
We specialize in the IT and technology industry, but are able to assist with placements in other industries and for other types of positions upon request.
The scope of our services is limited to the introduction of candidates to clients. We are responsible for the terms and conditions of any employment or engagement arranged through our services. It is the responsibility of the client and the candidate to negotiate and agree on the specific terms of any employment or engagement.
We reserve the right to decline any request for services, and to terminate our services at any time in our sole discretion.
Fees and Payment
The fees charged by Snake Charmer Limited, trading as Nabu Technology, for the use of its services are set out in the agreement between the client and the company. These fees may include a deposit, hourly or project-based rates, and cancellation fees, as applicable.
Payment of the fees is due in accordance with the payment terms set out in the agreement. This may include upfront payment, progress payments, or payment upon completion of the services.
We reserve the right to suspend or terminate our services if payment is not made in accordance with the agreed terms. Any outstanding fees will become immediately due and payable upon termination of the agreement.
Value-added tax (VAT) and any other applicable taxes may be charged in addition to the fees, depending on the client's location and the applicable laws. The client is responsible for the payment of any taxes arising from the use of our services. If VAT or other taxes are not applicable, this will be indicated in the agreement.
Confidentiality and Data Protection
Snake Charmer Limited, trading as Nabu Technology, is committed to protecting the confidentiality of client and candidate information. We will not disclose any confidential information to any third party without the prior written consent of the client or candidate, unless required to do so by law.
We are also committed to compliance with data protection laws, including the General Data Protection Regulation (GDPR). Any personal data provided to us by the client or candidate will be processed in accordance with the GDPR and our internal data protection policies.
In particular, we will only collect, use, and disclose personal data for the purpose of providing our staffing services, and will take appropriate measures to ensure the security and confidentiality of any personal data processed by us.
Any personal data provided to us by the client or candidate will be treated as confidential and will only be disclosed to third parties with the consent of the client or candidate, or as required by law.
Personal data includes any information that can be used to identify an individual, such as name, address, telephone number, or email address. In the context of our services, personal data may include the personal information of candidates introduced to the client.
Termination
The agreement between Snake Charmer Limited, trading as Nabu Technology, and the client may be terminated by either party at any time, for any reason, by giving written notice to the other party.
Upon termination of the agreement, the client will be responsible for the payment of any outstanding fees, in accordance with the payment terms set out in the agreement.
In the event of termination, Snake Charmer Limited, trading as Nabu Technology, will have no further obligations under the agreement, except for the return or destruction of any confidential information in our possession. The client will be responsible for the return or destruction of any confidential information in its possession.
The provisions of the agreement that are intended to survive termination, such as those relating to confidentiality, data protection, liability, and indemnity, will continue to apply after the termination of the agreement.
Liability and Indemnity
Snake Charmer Limited, trading as Nabu Technology, will not be liable for any loss or damage incurred by the client or candidate arising from the use of our services, except to the extent that such loss or damage is directly and solely caused by our gross negligence or willful misconduct.
In no event will Snake Charmer Limited, trading as Nabu Technology, be liable for any indirect, incidental, consequential, punitive, or special damages, including, but not limited to, loss of profits, loss of revenue, loss of business, or loss of data.
The client agrees to indemnify and hold Snake Charmer Limited, trading as Nabu Technology, harmless from and against any and all claims, damages, losses, liabilities, and expenses arising from or in connection with the use of our services.
This indemnity will survive the termination of the agreement and will continue to apply after the termination of our services.
Governing Law and Jurisdiction
These Terms of Business and the agreement between Snake Charmer Limited, trading as Nabu Technology, and the client will be governed by and construed in accordance with the laws of Ireland.
Any disputes arising from or in connection with these terms or the agreement will be resolved in the courts of Ireland, and the client and Snake Charmer Limited, trading as Nabu Technology, each submit to the exclusive jurisdiction of those courts.
